  1. DELIVERY, ACCEPTANCE,  USE  AND  REPAIR:  You unconditionally accept the Equipment and bundled services upon the earlier of (a) your oral or written acceptance of the Equipment, or (b) 7 days after delivery of the Equipment. You will not move the Equipment from the above location without our written consent and are responsible for maintaining the Equipment in good condition.
  2. PAYMENT TERMS: The Agreement is enforceable on you upon your execution. The term of the Agreement shall commence on the date of execution (“Commencement Date”). The first Payment shall be due on the date we specify in the month following the service Commencement Date as set forth in our invoice, and the remaining Payments will be due on the same day of each subsequent month (each, a “Payment Date”) until the end of term. You agree to provide and maintain a valid and up-to-date payment method (e.g., bank account or credit card) for automatic payment processing. A 3% processing fee will apply for credit card payments. By signing this Agreement, you authorize us to automatically charge the provided payment method for all fees, charges, and applicable taxes associated with the services rendered under this Agreement on the Payment Date.
  3. ADD-ON SERVICES: Request for any additional services must be made in writing by the Buyer and will be billed in addition to the initial Payment/month listed in signed quote or agreement.
  4. EXPIRATION AND RENEWAL: Unless the Buyer notifies the Service Provider at least 30 days before the expiration of the Agreement, this Agreement will renew on a month-to-month basis at a new rate of the original rate/ month plus 20%.
  5. EARLY TERMINATION FEE: The Customer acknowledges and agrees that, except in the case of termination by gTalk® for cause, termination of this Agreement prior to the expiration of the agreed-upon term shall not relieve the Customer of its obligation to pay all fees and charges due for the full term of the Agreement. All outstanding amounts shall become immediately due and payable upon termination.
  6. SERVICE CALL: Service calls requiring on-site visit by the seller for issues that are NOT attributable to gTalk services will incur a site-visit charge of $120/visit.
  7. LATE FEES & CHARGES: If an automatic payment is declined or cannot be processed due to insufficient funds, an expired payment method, or any other reason, a $35 fee will be charged for each occurrence. If payment is not made within seven (7) days of when due, you agree to pay us a late fee equal to the higher of $5 or 1.5% of the balance due.
  8. TAXES & TELECOM FEES: Taxes and telecommunication-related fees will apply as per existing regulations.
  9. 911 SERVICE (E911): VoIP-based 911 service is dependent on the quality of the Internet service at a specific time. The Service Provider disclaims any responsibilities for acts or omissions by third parties in the provision of 911 call service.
  10. FORCE MAJURE: The Service Provider shall be excused from any delay or failure in performance hereunder caused because of occurrence or contingency including but not limited to, acts of God or suppliers, sabotage, war, government requirements, or other events that are beyond the Service Provider’s reasonable control.
  11. WARRANTY DISCLAIMER: The Services equipment provided hereunder are provided “As Is” And “As Available” and the Service Provider makes no warranties, express or implied.
  12. DEFAULT: If the Buyer does not pay us any amount within ten (14) days of its due date, or breaches any terms of this Agreement, any guarantee, or any license relating to the Equipment, you will be in default. If you default, we may disconnect your service and require you to do any combination of the following: (a) immediately pay all amounts then due, plus the present value of the remaining Payments; (b) return all of the Equipment; (c) allow us to repossess the Equipment; or (d) use any and all remedies available to us under applicable law. The buyer will incur a $50 charge for reactivation of disconnected services.
  13. LIMITATION OF LIABILITY: In no event shall the service provider be liable to you or any third party for special, exemplary, indirect, incidental, consequential, or punitive damages of any kind whether arising under contract, warranty, tort (including negligence or strict liability), or any other theory of liability.
  14. DISPUTE RESOLUTION: In the event of any dispute, question, or disagreement between the Buyer and Service Provider, the Parties shall use reasonable best efforts to settle the issue by mutual discussion.
  15. ASSIGNMENT: You have no right to sell or assign the Equipment or Services until this agreement expires. We may sell or assign our rights in the Agreement and/or Equipment and the new owner will have all our rights but will not be subject to any claim or defense you have against us.
